General Sales Conditions

The following General Terms and Conditions of Sale, hereinafter referred to as GTCS in conjunction with the invoice, constitute the terms and conditions of the purchase contract.

 

NAME

  • Manufacturer: manufacturer of the Goods
  • Goods: consumables and components for remanufacturing and production of printing and copying cartridges in printers, copiers and multifunctional devices, including: toners, photosensitive drums, rollers, cleaning strips, chips and others.
  • Invoice: the sales document constituting the contract binding the Parties in each case.

 

CONTRACTUAL PARTIES

  • Distributor: the company Biuromax sp. z o. o. with its registered office in Solec, purchasing Goods directly from their Producers.
  • Customer: any company purchasing the Goods directly from the Distributor.
 

CONDITIONS

  • Method of shipment: carried out through licensed shipping companies. The Customer may also choose the method of delivery himself and have the consignment collected by his carrier.

  • Payment methods and conditions: bank transfer, cash ondelivery, prepayment. Payment terms are always subject to individual agreements. In case of failure to pay for purchases within the time limit specified on the sales invoice, interest will be charged, as defined by the Civil Code , in an amount equal to the sum of the NBP reference rate and 3.5 percentage points.

  • Prices: prices are subject to negotiation. Each transaction made is an automatic acceptance by the Customer of the prices and conditions of sale stated on the invoice. VAT of 23% is added to each price by the Distributor, excluding intra-Community and export transactions.

  • Returns: The Distributor will not accept a return without prior agreement and will send it back at the Customer's expense. Purchased goods can be returned by the Customer to the Distributor after prior notification of return only by using the on-line form available on the Distributor's website www.biuromax.com.pl after logging in to our online shop and going to the ADVERTISEMENTS AND RETURNS tab without giving any reason within a maximum of 10 days from the date of delivery to the address indicated by the Customer provided that the goods and their packaging are intact. Goods imported on the Customer's individual order are not subject to returns. The distributor does not accept returns of goods at a later date for reasons other than quality complaints. Complaint returns for original/OEM products can be submitted up to 3 months after delivery of the goods to the address indicated by the Customer. For alternative products, returns can be made up to 12 months from the date of delivery to the address specified by the Customer. Returns of goods, including complaints, are always at the expense of the Customer. The goods and their packaging shall be intact. Goods imported to the customer's individual order are not eligible for returns. The distributor does not accept returns for reasons other than quality complaints. Complaint returns for original/OEM products can be submitted up to 3 months after delivery of the goods to the address indicated by the Customer. For alternative products, returns can be made up to 12 months from the date of delivery to the address specified by the Customer. Returns of goods, including complaints, are always at the expense of the Customer.

  • Complaints: The customer is obliged to inspect the goods upon receipt. In the case of external damage to the consignment, a protocol should be drawn up with the participation of the courier. In the event of any discrepancy between the quantity of the received goods and the invoice, the Customer shall immediately (on the day of receipt of the Goods) notify the Distributor of this fact, sending him written information of the discrepancy in order to enable verification and control of the consignment. If the aforementioned conditions are not complied with, the Customer may not make any claim on this account. The Customer shall notify the Distributor of quality defects in the Goods within 7 days of their discovery, but within a maximum of 3 months from the date of delivery to the address indicated by the Customer for original/OEM products. For alternative products within a maximum of 12 months from the date of delivery to the address indicated by the Customer. In the event that the Customer submits a complaint about the Goods for quality reasons within the time limit specified in the GTS and, following the complaint procedure, it is confirmed that the Goods bear manufacturing defects, the Distributor will issue a corrective invoice and refund the purchase price of the Goods by the Customer, without any additional charges. The Distributor has the right not to accept the returned Goods if the Customer does not follow the complaint procedure placed on the website www.biuromax.com.pl, in particular, if he/she does not fill in the complaint/return form and does not meet all the conditions of the complaint.

  • Manner of notification of defects in the Goods: Notificationof defects is made within 7 days from the date of detectingthe defect by sending a complaint only via the online form available on the Distributor's website www.biuromax.com.pl after logging in at our online shop and going tothe ADVERTISEMENTS AND RETURNS tab. Detailed terms and conditions for making claims are available on the Distributor's website - COMPLAINTS AND RETURNS. Goods submitted for return or complaint should be sent back at the expense of the claimant within 21 days from the date of acceptance of the return/complaint by the Distributor.

  • Settlement: The Distributor' s setting of a credit limit for the Customer as buyer is subject to mutual negotiation and can be changed at any time without giving reasons.

  • Warranty: the Distributor shall only be liable for the Goods if they have been used in the models of equipment stated on the invoice or in the Distributor's offer. The Distributor's liability is limited to the terms of the warranty provided for the Goods sold by their Manufacturer. In the event that the Customer makes a complaint about the Goods for quality reasons, within the time limit specified in the GTS, and after the complaint procedure it is confirmed that the Goods bear manufacturing defects, the Distributor shall replace the Goods to the Customer with Goods free of defects or refund the price of its purchase by the Customer, without any additional charges. The Distributor has the right to require the Customer to provide: samples, prints and other evidence needed to verify the complaint. The Distributor has the right not to accept the returned Goods if the Customer does not follow the complaint procedure placed on the website www.biuromax.com.pl, in particular if the Customer does not fill in the form placed there.

  • Limitation of Damages and Waiver of Compensation: By purchasing Goods directly from the Producers, the Distributor makes the best effort to ensure that the Goods it sells are of good quality and do not infringe copyrights or patents. In no event shall the Distributor be liable for any actual damage or lost profits that may arise to the Customer or third parties in connection with the purchase and acquisition of the aforementioned Goods or their use and application. Nor will the Distributor bear the cost of any expert opinions or tests of the above-mentioned Goods carried out by the Customer or third parties, unless they are ordered to be carried out at the Distributor's expense by authorities authorised to do so by law.

  • Reservation of Ownership: The Distributor reserves ownership of the Goods sold until the purchase price thereof has been paid.

  • Venue for litigation: The parties undertake to resolve their disputes amicably, but in the event that they fail to reach an agreement, the court of jurisdiction shall be the Distributor's registered office.

  • Severability clause: should one of the General Conditions of Sale prove to be invalid, this shall not affect the validity of the others, which shall remain binding on the Parties.
